The Board and Administration

ShareGift Australia's Chairman and Board Members provide their time and services to ShareGift Australia in a voluntary and pro bono capacity.

Chairman:

Christopher Thorn

Christopher was most recently the Executive Director of JBWere’s Philanthropic Services team, where his primary responsibilities included raising awareness of philanthropic issues, providing advice on investment and capital management to individuals and organisations wishing to implement a philanthropic strategy, and fostering relationships between interested parties in order to facilitate the giving process. Christopher has a long term interest in social finance and has participated in and hosted roundtables and forums on this topic.

Christopher joined JBWere in 1984 and worked in Melbourne as a Retail and Institutional Adviser. In 1993 Christopher moved to New York as Vice President Institutional Sales. Upon returning to  Australia in 1996 he was appointed Manager of JBWere’s Queensland business, until returning to Melbourne in 2001. He was made a partner of JBWere in 1997.

Christopher has held a variety of senior management roles within JBWere’s Private Wealth Management business, including business integration and strategy. In 2002, Christopher established the firm’s Philanthropic Services division. He retired from the firm in September 2011.

Christopher has a Bachelor of Commerce. He is a Fellow of Finsia (Financial Services Institute of Australasia) and a Member of the Securities and Derivatives Industry Association. Christopher is a member of the Philanthropy Australia Council, Chairman of ShareGift Australia, the MLC Community Foundation Advisory Committee and the JBWere Charitable Endowment Fund Investment Committee, President of the Camberwell Grammar School Foundation and a member of the Centre for Social Impact Melbourne Advisory Council.

Directors:

Michaela Healey - Group Company Secretary, Group Executive, Group Governance & Legal National Australia Bank.

Michaela joined the National Australia Bank in April 2006 as Group Company Secretary. As Group Company Secretary and head of Group Governance & Legal, Michaela is responsible for leading the Group’s legal teams, supporting the NAB’s board and shareholders and ensuring good governance practices across the organisation.

In March 2009, she expanded her responsibilities to include the Australian and Corporate legal teams together with being part of the Executive Committee. She chairs the Group Climate Change and Environment Committee.

She formerly led the Group’s cross-border migrant banking business across the Group, and is a founding director of ShareGift Australia. Prior to joining the NAB, Michaela worked at Orica - the world’s largest manufacturer of commercial explosives and Australia’s largest chemical company. During her time at Orica, she was company secretary, corporate affairs manager, and established a new retail services business for the Orica Consumer Products businesses.

Michaela spent her early professional years as a corporate lawyer and working as legal counsel and a company secretary in mining companies.

Greg Hutchinson - Senior Adviser, Bain & Company. Deputy Chairman, The Australian Charities Fund

Greg has been with The Australian Charities Fund since its founding, initially as Chief Executive and now as Deputy Chairman. Greg is also a Senior Advisor at Bain & Company, a leading global strategy consultancy firm, with whom he has 25 years experience working with major corporations in Asia, Europe and North America.

Prior to joining Bain, Greg spent ten years working with the Commonwealth Bank in Australia and the United Kingdom, and several years as a Visiting Lecturer in Finance at Macquarie University.

Greg holds an honours degree in statistics and economics from Macquarie University, as well as MSc from the University of London. He is also a member of the Investment Committee of Macquarie Direct Investment Limited. Greg recently retired as a director of the Australian Brandenburg Orchestra and is a member of the Brandenburg Council.

David Ward - Director, ANZ Trustees

David is a Director of ShareGift Australia and ANZ Trustees and is Trustee Representative on several charitable trusts including the Hugh DT Williamson Foundation, the Alexander Miller Estate and the Alexander Wright Wales Trust. He is also a Councillor of Philanthropy Australia.

David had 19 years service with ANZ, including positions of Chief Economist (NZ); General Manager Investor Relations; General Manager Office of the Chief Executive; and four years as General Manager then Managing Director of ANZ Trustees.

Previously he had 7 years service as a diplomat with the New Zealand Ministry of Foreign Affairs, dealing with Economic, Trade, Defence and Aid issues and serving in Wellington, Canberra and Fiji.

Rodney Davidson CPA; FCIS - Director and Company Secretary, ShareGift Australia

Rodney is an experienced Company Secretary in both the commercial and Not for Profit sectors and currently acts as a governance consultant in Melbourne with Mertons Corporate Governance Specialists.

He was group Company Secretary of Goldman Sachs JBWere for 19 years until his retirement in January 2008. This followed 12 years as national finance manager of the Ogilvy and Mather advertising group in Australia.

In the Not for Profit sector Rodney acts as Director and Secretary of StreetSmart Australia (raising funds to support organisations that aid the homeless) and has been Secretary of the Goldman Sachs JBWere Foundation.

Neil McKissock – Principal Consultant, Scholten Collins McKissock

Neil is an Authorised Representative of Godfrey Pembroke Limited. He established the Doncaster Practice of Godfrey Pembroke Limited (then Godfrey Weston) in 1986 and is a former director of Godfrey Pembroke Limited.

He is a director of National Australia Trustees Limited. Neil's other professional memberships include the Financial Planning Association (CFP), Australian Society of Practising Accountants (CPA), Affiliate of The Securities Institute of Australia, & Foundation Fellow of The Australian Institute of Company Directors.

Angela Perry – Global Head, EPS Business Development, Executive Client Partnerships Equity Plan Solutions, Link Market Services

Angela is a qualified English Barrister and Australian qualified solicitor.  She is currently the Global Head, EPS Business Development and leads the Executive Client Partnership Program of Link Market Services Limited.  She has served as the General Counsel for Link for 4 years.

She has over 12 years consulting experience in the fields of equity plan design and executive compensation practice, governance issues, corporate legal and contract law.  This experience was gained in the Australian, European, UK and US markets.

Angela has acted for some of the top Australian and UK public and private companies and large internationals in relation to design, implementation and administration of remuneration and governance structures.

In the UK she was part of the HM Revenue & Customs’ (formerly the Inland Revenue) consultation process for the New All Employee Share Plan.  She has undertaken research for the European commission on the prevalence, reasons for and barriers to employee share plans in Europe. She has recently worked with the Australian Employee Share Ownership Development Unit in the Department of Employment and Workplace Relations on a consultancy basis. She has also served on a client’s board for 5 years.

Stephen Mills


Stephen Mills is a corporate affairs and issues management specialist with more than 10 years experience in managing external relationships for leading financial services companies including ASX Ltd, Citigroup and Bankers Trust.

He previously worked as a speechwriter to Prime Minister RJL Hawke (1986-91) and as a journalist and editor in the Fairfax newspaper group.  He has a Master of Public Administration from Harvard's Kennedy School of Government, and a BA (Hons) from University of Melbourne. He is the author of The New Machine Men (1986) and The Hawke Years (1993).

Stephen is attached as a lecturer to the Graduate School of Government and the Department of Government and International Relations at the University of Sydney. He also serves as chairman of Australian Business Foundation, an independent non-profit research organisation focused on boosting Australia's capabilities and global competitiveness.

Andrea Broom - Executive Officer, Sharegift Australia

Andrea is currently the Executive Officer for ShareGift Australia. Previously she was with JBWere and Evans and Partners.

Andrea joined JBWere & Son in 1983 in the Transaction Processing business unit and quickly progressed into Retail Advising as a trainee. In 1994, Andrea became Head of Transaction Processing and soon after, in 1996 Group Head of Operations. In 2006 she became Head of Operations in the Private Wealth Management Area.

Andrea was appointed as a JBWere partner in 1998. She has had extensive involvement across the industry and held roles in large public offerings with JBWere such as Telstra and Commonwealth Bank. In her capacity as Head of Operations, she was accountable for day to day operations in the JBWere Group together with Operational Risk, continuous improvement and straight through processing. Andrea was involved in the integration of JBWere and Goldman Sachs Australia together with various business change programmes. She joined Evans and Partners in June 2009. Andrea took on the role of Executive Officer at ShareGift Australia in June 2010.

In considering the structure of the Board, the Board of ShareGift Australia takes into account the extent to which directors have skills, expertise and industry knowledge that is relevant to the discharge of our duties and fulfilling our goals. The Board also seeks the appropriate balance of diversity and geographical representation. It is policy and practice of the Board that a majority of directors be independent.
